What the Registrar of Companies does

ROC stands for Registrar of Companies. ROC offices are located across the country, each headed by a Registrar and supported by additional and deputy registrars, and every company is registered with the office covering the state of its registered office.

The core job is registration and record keeping. The ROC incorporates companies and limited liability partnerships, allots the Corporate Identity Number, maintains the charter documents and the charges created over company assets, and makes the filings available for public inspection.

It is not a regulator that approves business decisions. The office administers the registration side of the Companies Act, 2013 and the LLP Act, 2008. Investigation and enforcement sit with bodies such as the Serious Fraud Investigation Office, the NCLT and the Ministry itself.

What a company files, and when

Incorporation runs through the SPICe+ forms on the MCA portal: name reservation, allotment of the CIN, PAN, TAN and other registrations in a single application. The 21 character CIN encodes whether the company is listed, the industry, the state, the year of incorporation and the type of company.

After incorporation come the annual filings. Financial statements go in Form AOC-4 within 30 days of the annual general meeting, and the annual return in MGT-7 within 60 days of the AGM. The AGM itself must be held within six months of the financial year end.

Directors have their own filing. The director KYC form, DIR-3 KYC, used to be annual. A notification of 31 December 2025, in force from 31 March 2026, moves it to once in every three financial years, with changes to contact details to be reported within 30 days.

A charge created by a company, such as a secured loan, must be filed with the ROC within 30 days of creation. Late filing is possible for a limited period on payment of additional fees, so do not leave a charge unregistered, since a lender's security is at risk without it.

Looking up any company for free

The MCA portal publishes master data for every registered company: CIN, registered address, date of incorporation, paid-up capital, status and the names of directors. Basic master data can be searched without a fee, and it is a standard way to check whether a vendor is a real company.

Company status matters. Active means filings are in order. Struck off or under process of striking off means the ROC has removed, or is removing, the name for non-compliance or inactivity, and a struck off company cannot carry on business.

Charges are searchable too. A search against a company shows loans and assets already pledged, which is what a lender or a supplier checks before extending credit.

Before you deal with an unfamiliar firm, match three things: the CIN on its letterhead, the registered address and the director names against the master data. A mismatch is a reason to ask questions before paying any advance.

Deadlines and penalties

Late filings attract an additional fee that grows with the delay, charged on top of the normal fee under Section 403 of the Companies Act. Directors who miss the KYC filing find their DIN deactivated until it is regularised with a fee.

Persistent defaults are worse. The ROC can issue a notice and strike a company off the register under Section 248, and directors of companies that have not filed financial statements for three years in a row can be disqualified under Section 164, which can block them from taking office in any other company.

None of this needs a visit to the office. Almost every service, from name search to filing, runs on the MCA21 portal, the electronic filing system introduced in 2006 under the government's e-governance programme.

ROC in everyday searches

ROC can mean other things. In finance it can stand for return on capital, and in statistics it appears as the receiver operating characteristic curve. In company paperwork, though, the ROC is the authority that issues the certificate of incorporation. The context, a portal or a ratio, tells you which one is meant.

For anything to do with a company's registration, filings or standing, the ROC under the Ministry of Corporate Affairs is the reference point. The Registrar of Companies record is public and the first place to check a business.

ROC Full Form: Common Questions

What is the full form of ROC?

ROC means Registrar of Companies, the authority under the Ministry of Corporate Affairs that registers companies and LLPs, keeps their documents and receives annual filings. ROC offices are located across India.

Where can I check a company's ROC details?

On the Ministry of Corporate Affairs portal, mca.gov.in. The master data search returns the CIN, registered address, incorporation date, paid-up capital, status and directors of a registered company or LLP.

What is the last date for filing annual returns?

Financial statements go in Form AOC-4 within 30 days of the annual general meeting, and the annual return in MGT-7 within 60 days of the AGM. The AGM itself must be held within six months of the financial year end.

What happens if a company does not file with the ROC?

An additional fee accrues on late documents, a director's DIN can be deactivated for missed KYC, and prolonged default can lead to disqualification of directors and the ROC striking the company's name off the register.

What is the difference between the ROC and the NCLT?

The ROC is a registry that records incorporation, documents and annual returns. The National Company Law Tribunal hears disputes, winding-up cases and appeals against orders such as a strike off, so a ROC decision can be challenged before it.

How do I find which ROC office covers my company?

It depends on the state of the registered office. The MCA portal lists the ROC offices and the states and union territories each covers.
