What happens at an Annual General Meeting

An AGM is the yearly meeting where shareholders hear from the board. Under the Companies Act 2013 the usual business is fixed: the audited financial statements and the directors' report are placed before members, the auditor's report is read, a dividend is declared if the board has recommended one, directors retiring by rotation are re-appointed, and the statutory auditor is appointed and the fee fixed.

It is also the one occasion on which an ordinary shareholder can question the management directly. Questions are put at the microphone, or in a chat box when the meeting is held through video conferencing, which the Ministry of Corporate Affairs has allowed for listed and other companies through its circulars. The answers are recorded in the minutes.

The statutory dates to remember

Section 96 of the Companies Act 2013 sets the rule. The AGM must be held within six months of the end of the financial year, which means by 30 September for a company closing its books on 31 March, and no more than 15 months after the previous AGM. A company's first AGM must be held within nine months of the close of its first financial year. A one-person company is exempt from holding an AGM.

A company that cannot meet the date can apply to the Registrar of Companies for an extension of up to three months. SEBI's listing regulations add disclosure and voting requirements for listed companies, on top of the Act's timeline.

A timeline makes this concrete. For the year ending 31 March 2026, the accounts are audited in the following months and approved by the board, and the notice with the annual report must go out at least 21 clear days before the meeting. For an AGM on 25 September, the notice therefore has to be sent by early September. After the meeting the company files its financial statements with the Registrar within 30 days and its annual return within 60 days of the AGM.

Notice, quorum and how votes are cast

Members must get at least 21 clear days' notice, with the annual report attached. For a public company the quorum under Section 103 is five members if membership is up to 1,000, fifteen if it is between 1,000 and 5,000, and thirty above that. A private company needs two members present.

Members can vote on a show of hands, demand a poll, or appoint a proxy in writing to attend and vote for them. Listed companies and many others also offer remote electronic voting before the meeting, under Section 108 of the Act and the rules made under it, and most results are now collected this way.

AGM is only one meeting in the calendar

An extraordinary general meeting, or EGM, can be called at any time. Members holding one-tenth of the paid-up voting capital can require the board to call one. Board meetings follow their own rule in Section 173: at least four a year, with no more than 120 days between two meetings.

Missing the AGM carries penalties. Section 99 provides a fine of up to one lakh rupees on the company and every officer in default, with a further fine of up to five thousand rupees for each day the default continues. Under Section 97, the National Company Law Tribunal can order the meeting to be held.

AGM as a designation in banks and PSUs

In Indian banks and public sector companies, AGM also stands for Assistant General Manager, a middle-senior rank usually placed above a Chief Manager and below a Deputy General Manager. An AGM often heads a regional office, a department or a group of branches.

The two meanings never collide in practice: 'AGM on 28 September' is a shareholders' meeting, while 'posted as AGM at the zonal office' is a rank. Exam answers on company law should use the first meaning and mention the second only if the question asks.

Remember three numbers for the AGM: 30 September for a March year end, 21 clear days of notice, and a quorum that grows with the size of the share register. Check the Act's section for any figure you quote.
