What the Securities and Exchange Board of India is

SEBI is India's capital market regulator. It was set up in April 1988 as a non-statutory body and received statutory powers through the SEBI Act of 1992, which let it write regulations, investigate, adjudicate and impose penalties across securities markets.

Its mandate, from the Act's preamble, is threefold: protect investors, regulate markets and promote their development. These aims can pull against each other, because anything that protects investors can slow a new product, and anything that develops the market can expose small investors to more risk.

SEBI is headquartered at Bandra Kurla Complex in Mumbai, with regional offices in other cities. It is run by a board that includes the chairperson, members nominated by the Finance Ministry and the Reserve Bank, and whole-time members appointed by the central government.

The powers SEBI can actually use

SEBI combines rule-making, investigation and adjudication in one body. It drafts regulations, conducts investigations and inspections, and passes orders. It can summon people, demand documents, inspect books of accounts, attach assets and levy penalties for insider trading, fraud and non-disclosure.

It is not the final word. Orders can be appealed to the Securities Appellate Tribunal and from there to the Supreme Court, which matters because SEBI's decisions affect listed companies, promoters and brokers who can afford top lawyers.

Protect, regulate, develop: how the work divides

SEBI's functions sort into three buckets.

Regulation

Rules for stock exchanges, clearing corporations, brokers, merchant bankers, registrars, mutual funds and investment advisers, enforced through inspections, audits and periodic reporting.

Protection

Banning insider trading and price manipulation, running the SCORES online grievance portal where investors file complaints, and funding investor education.

Development

New products and market infrastructure: REITs and InvITs, derivatives, faster settlement, and simpler KYC and account opening for new investors.

Reforms that changed how Indians invest

Dematerialisation removed physical share certificates along with the forgery, theft and postal delays that came with them, made possible by the Depositories Act, 1996. Settlement cycles shortened from T+5 to T+2 and then to T+1 for equities, which India completed in 2023.

In mutual funds, SEBI's categorisation rules forced schemes into defined boxes so that a large-cap fund actually holds large caps, and cost disclosure makes a fund's annual expense visible. Corporate governance norms, related-party disclosure rules and IPO disclosure requirements follow the same logic: make the facts easy to find.

For someone investing 5,000 rupees a month, SEBI shows up as the disclosure before an IPO, the expense ratio on a factsheet, the rule against advisers promising guaranteed returns, and the SCORES portal when a broker does not return your money.

How to file a complaint with SEBI

First write to the company or broker and keep proof. If you get no reply or an unsatisfactory one, register on the SCORES portal, give the details and attach documents. The entity has to respond within a time limit, and SEBI follows up. SEBI also has an online dispute resolution route for unresolved cases involving stock brokers and depositories.

Before investing with any adviser, check that the person is registered with SEBI as an investment adviser or research analyst; SEBI maintains a searchable list of registered intermediaries on its website. Anyone promising assured returns, or asking you to transfer money to a personal account, is likely a fraud.

Who runs SEBI and how its credibility is tested

Tuhin Kanta Pandey took charge as chairperson on 1 March 2025, after the term of Madhabi Puri Buch, the first woman to head SEBI, ended. For any later change, the SEBI website is the reliable source.

A regulator's credibility is tested as often as its rules are. In 2024 the Hindenburg Research allegations about the Adani Group and about the then chairperson drew parliamentary scrutiny and political debate. How SEBI responds to such episodes, and how quickly it publishes findings, is watched as closely as any circular.

For a retail investor, SEBI's rules are the reason an annual report, a fund factsheet and an IPO prospectus look comparable at all. Use the disclosures it forces into the open, because they tell you more about a company than any tip will.
