What a MOM contains

MOM stands for Minutes of Meeting, the written record of what was discussed, decided and assigned. A complete version carries the date, time and venue, the attendees and absentees, the agenda, the decisions taken, and an action list.

The action list is the part that matters. Each item should have one owner, one task and one deadline, written plainly: 'Rahul to send the revised quote by Friday', not 'the team will look into it'. Good minutes capture decisions and the reasons in summary, never a word-for-word transcript.

Why a written record settles arguments

Minutes turn a meeting into accountability. They settle the 'I thought you said' arguments that appear weeks later, give absent colleagues the decisions without a replay, and supply the raw material for status reports and each KPI review and the next agenda.

In companies, the law adds weight. Section 118 of the Companies Act, 2013 requires every company to keep minutes of general meetings, board meetings and committee meetings to be recorded in minute books, and the minutes are signed by the chairman. The Secretarial Standards issued by the Institute of Company Secretaries of India set out how they should be written, including that they are entered within 30 days of the meeting. That is why board minutes are drafted far more carefully than a team huddle.

Formal minutes vs informal meeting notes

Formal minutes cover statutory meetings such as board meetings, annual general meetings and committee meetings. They follow a prescribed format and are signed and kept in the company's records. Informal notes, the kind most HR and project teams write, cover project reviews, weekly stand-ups and client calls (often tracked against an SLA), and are usually just an email sent within a day.

Both should record decisions, but only formal minutes carry statutory obligations. A useful habit is to label the note 'minutes' when decisions bind people, and 'discussion notes' when the meeting was exploratory. Mixing them creates confusion about what was actually agreed.

How to write a MOM people actually read

Write during or straight after the meeting, in the past tense and in plain statements: 'The team decided to move the launch to March'. Number each action item and attach an owner and a date to every one. Leave out opinions, blame and direct quotes, because they invite argument.

Circulate the draft within 24 to 48 hours, while memory is fresh, and allow a day for corrections before finalising. Store the final version somewhere searchable, and open the next meeting by reviewing outstanding actions. In an Indian office, a clear MOM is often the simplest proof that a deadline was agreed.

A simple MOM format you can reuse

A workable skeleton is: meeting title, date and time, mode (room or conference link), attendees, apologies, agenda items, discussion summary, decisions, action items with owners and dates, and the date of the next meeting. Keep it to one or two pages so people actually read it.

For recurring meetings, number action items across sessions (M-1, M-2) so a carried-forward item keeps its identity. If an agenda item produced no decision, write 'deferred to next meeting' rather than dropping it silently. That habit prevents most lost threads.

A sample set of minutes

Weekly sales review, 14 March, 11:00 to 11:45, Conference Room 2. Present: Anita (chair), Rahul, Meera, Sanjay. Absent: Karan (on leave). Item 1, Q4 targets: the team agreed to raise the Pune target by 10 per cent. Item 2, client delay: Meera will confirm the revised delivery date. Actions: Rahul to share the revised quote by 17 March. Meera to update the client by 15 March. Next meeting: 21 March, 11:00.

Notice what the sample leaves out: who said what, and any side discussion. It shows only what was decided and who must do what by when.

One more point: share the minutes with a clear request for corrections by a deadline. A line such as 'Please reply by Tuesday noon with changes; otherwise these minutes stand as final' stops the endless back-and-forth and makes the record usable. For meetings with clients or vendors, send the minutes to the other side too, because that is what turns a verbal promise into a written one, which matters when a KPI or an SLA is under discussion. When a decision is later reversed, record the reversal in the next minutes, with the reason, rather than quietly overwriting the earlier note. Use a consistent file name such as date_meeting-title so that records can be found months later, and tell new joiners in HR and project teams where they are kept.

A good MOM is short, factual and built around an action list with owners and dates. Write it within a day, keep opinions out of it, and begin the next meeting by reviewing what is still open.

MOM Full Form: Common Questions

What is the full form of MOM?

MOM stands for Minutes of Meeting, the written record of a meeting's discussions, decisions and action items.

What is the difference between minutes and an agenda?

The agenda is the plan prepared before the meeting, listing the topics to be covered. The minutes are the record written afterwards, showing what was actually discussed and decided.

How quickly should a MOM be circulated?

For ordinary team meetings, within 24 to 48 hours, while people can still correct errors. For board and general meetings of companies in India, the Secretarial Standards expect the minutes to be recorded within 30 days of the meeting.

Who should take minutes at a meeting?

A designated note-taker, such as a coordinator, project manager or company secretary for board meetings, rather than the person leading the discussion. The note-taker should be able to listen and write without being pulled into the debate.

Are minutes a legal document?

For board and general meetings of companies, signed minutes are statutory records and are treated as evidence of the proceedings. For ordinary team meetings they are not legally required, but a written record is still the easiest way to settle disputes.

Is MOM the same as a meeting summary?

Not exactly. A summary tells the story of the meeting in brief, while minutes record decisions and actions in a fixed structure, with owners and deadlines.
