What an LLC is in the United States

The LLC full form is Limited Liability Company. It is a US business structure that gives its owners, called members, protection from personal liability, and by default lets the business be taxed like a partnership or a sole proprietorship. It is created by filing articles of organization with a state government and paying that state's filing fee.

The limited liability is the main point. If the company is sued or goes bankrupt, creditors normally have to pursue the company's assets and not the members' homes and savings. This protection weakens if a member signs a personal guarantee, or mixes personal and business money so that the company is not treated as a separate entity.

An LLC can have one member or many, and it can be run by the members themselves or by appointed managers. Its internal rules are set in an operating agreement. Many states do not require you to file it, but banks and partners often ask to see it.

Why an LLC rather than a corporation

A regular corporation is taxed twice: the company pays tax on its profit, and the shareholders pay tax again on dividends. An LLC is a pass-through entity by default. A single-member LLC reports its profit on the owner's personal return (Schedule C), and a multi-member LLC files a partnership return (Form 1065) and passes each member's share to them. Members normally pay self-employment tax on their earnings.

An LLC can elect to be taxed as an S corporation or a C corporation, using Form 2553 or Form 8832. Many small businesses do this once profits grow, mainly to reduce self-employment tax. The flexibility is real, and so is the extra compliance.

Compared with a corporation, there is no required board, no bylaws, no annual shareholder meeting and no share issue. That lighter paperwork is why freelancers, consultants and small start-ups often choose it.

Which state, how much, and the foreign-owner route

Formation fees differ by state and usually range from tens of dollars to a few hundred. Delaware, Wyoming and New Mexico are popular with foreign owners. Delaware has a well-developed body of business law and charges LLCs a flat annual tax of $300. Wyoming has low annual fees and no state corporate income tax.

A non-resident can form an LLC without a US Social Security number. An EIN (the company's tax number) can be obtained by filing Form SS-4, and registered agent services usually handle this for a fee. The company needs a registered agent with a physical address in the state of formation and must file an annual report or pay an annual tax, depending on the state.

A warning for people raising money: venture capital investors almost always prefer a Delaware C corporation to an LLC, so founders who expect to raise venture funding usually form a C corporation at the start or convert before taking institutional money.

A foreign-owned LLC that has no US business activity may still have US tax filing duties. For example, a single-member LLC owned by a non-resident generally has to file Form 5472 with a pro forma Form 1120, even if it has no income. Missing these filings can lead to large penalties.

LLC for Indian founders: what it is not

There is no LLC in Indian law. The closest Indian structures are a private limited company registered with the Registrar of Companies under the Companies Act, 2013, a limited liability partnership (LLP) under the LLP Act, 2008, and a one-person company. The LLP is closest in spirit, with limited liability and pass-through style taxation, but its tax treatment differs from a US LLC.

Owning a US LLC does not give you a US visa or the right to work in the United States. It can be owned and managed from India, and its main practical value is access to a US bank account (opened after the bank's KYC checks), payment gateways and the ability to invoice American clients in dollars.

Tax questions arise on both sides. If the LLC earns income while you are resident in India, the India-US tax treaty, Indian income tax rules, RBI regulations and FEMA (the Foreign Exchange Management Act) can all apply, including rules for overseas investment by Indian residents. Take professional advice before the first invoice, and not after.

An LLC is the most common US structure for small and foreign-owned businesses, valued for liability protection and simple taxation. Before forming one from India, get advice on both US filing duties and Indian rules for overseas investment.

What is the difference between an LLC and an LLP?

Both give limited liability, but an LLC is a US structure with flexible tax choices. The LLP is a form of partnership that exists in India and the UK, and it is what many Indian professional firms register.

Can a foreigner form an LLC in the US?

Is an LLC the same as a private limited company in India?

No. An LLC is a US structure with no direct Indian equivalent. The nearest match is a private limited company under the Companies Act, 2013, or an LLP for smaller professional firms.

Does an LLC have to pay tax in the US?

It depends on the owner, the state and where the work is done. A pass-through LLC pays no federal income tax itself, but its owners may. A foreign-owned LLC with no US-source income may owe no US income tax, but it often still has to file returns.
